Welcome to Nomad Fulfillment (“Nomad,” “we,” “our,” or “us”). By accessing or using our fulfillment services, software, website, or any related services (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to be bound by the following Terms & Conditions. Please read them carefully before engaging our Services.
1. Services Provided
1.1 Nomad Fulfillment provides order fulfillment, warehousing, pick & pack, shipping, returns management, value-added services, and related logistics support.
1.2 We may update or modify the Services at any time. Significant changes will be communicated to clients in advance.
2. Client Responsibilities
2.1 Account Setup – Clients must provide accurate business, billing, and shipping information during onboarding.
2.2 Compliance – All products stored and shipped must comply with applicable U.S. laws, carrier regulations, and Nomad’s prohibited items list (available upon request).
2.3 Insurance – Clients are responsible for maintaining adequate insurance on their products stored at our facilities. Nomad does not insure client inventory unless otherwise agreed in writing.
2.4 Product Data – Clients must ensure product details, SKUs, and order data provided through integrations or manual upload are accurate.
3. Fees & Billing
3.1 Pricing – Clients are billed based on agreed-upon pricing tiers, storage fees, pick/pack fees, shipping margins, and any additional services.
3.2 Payment Terms – Invoices are due [net 15 / net 30 days] from the invoice date unless otherwise stated in your agreement.
3.3 Late Payments – Overdue invoices may incur late fees of [1.5% per month] or the maximum allowed by law. Nomad may suspend Services until payment is received.
4. Inventory & Storage
4.1 Receiving – All inbound shipments must follow Nomad’s receiving guidelines. Non-compliant shipments may incur additional handling fees.
4.2 Inventory Accuracy – Nomad maintains inventory counts using its Warehouse Management System (WMS). Clients are responsible for reconciling discrepancies within [10 business days] of reporting.
4.3 Storage Fees – Storage is billed monthly based on cubic feet or pallet space occupied. Fees may change with 30 days’ notice.
5. Shipping & Delivery
5.1 Carrier Selection – Nomad uses its carrier network and negotiated rates unless otherwise specified.
5.2 Transit Times – Delivery times are estimates only. Nomad is not liable for delays caused by carriers, weather, or events beyond our control.
5.3 International Orders – Clients are responsible for customs duties, taxes, and compliance with destination country regulations.
6. Returns & Claims
6.1 Returns Processing – Returns are processed per the client’s instructions and billed at the agreed rate.
6.2 Lost or Damaged Shipments – Claims must be filed within [7 business days] of delivery confirmation. Nomad will assist with carrier claims but is not liable for reimbursement unless caused by Nomad’s negligence.
6.3 Inventory Loss/Damage – Nomad’s liability for inventory stored at its facility is limited to $0.50 per pound of goods, unless otherwise agreed in writing.
7. Technology & Integrations
7.1 Third-Party Platforms – Nomad integrates with platforms like Shopify, ShipHero, ShipStation, and others. We are not responsible for outages, errors, or losses caused by third-party platforms.
7.2 System Access – Clients are responsible for maintaining secure access credentials to our portals and integrations.
8. Term & Termination
8.1 Term – This Agreement begins upon client onboarding and continues until terminated by either party.
8.2 Termination by Client – Clients may terminate with [30 days’ written notice]. All outstanding invoices must be paid before inventory release.
8.3 Termination by Nomad – Nomad may terminate immediately for non-payment, illegal activity, or breach of this Agreement.
9. Confidentiality & Data
9.1 Nomad agrees to keep client data and business information confidential, except where disclosure is required by law.
9.2 Client agrees not to share or misuse proprietary information, pricing, or processes of Nomad Fulfillment.
10. Limitation of Liability
10.1 Nomad’s liability for any claim related to the Services shall not exceed the fees paid by the client in the [three months] preceding the event giving rise to the claim.
10.2 Nomad shall not be liable for indirect, incidental, or consequential damages, including lost profits, arising from the Services.
11. Indemnification
Client agrees to indemnify and hold harmless Nomad Fulfillment, its officers, employees, and contractors from any claims, damages, or expenses arising from:
● Client’s products,
● Client’s instructions,
● Client’s violation of laws or regulations.
12. Governing Law & Dispute Resolution
12.1 These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
12.2 Any disputes shall first be attempted through good faith negotiation. If unresolved, disputes will be settled by binding arbitration in Nashville, TN.
13. Updates to Terms
Nomad reserves the right to update these Terms & Conditions at any time. Continued use of the Services after updates constitutes acceptance of the revised Terms.
